Welcome to SHARC Recruitment ("SHARC," "Company," "We," "Us," or "Our"). These Terms and Conditions ("Agreement") constitute a legally binding agreement between SHARC Recruitment and any individual or entity ("User," "You," or "Your") accessing or using our platform and recruitment services. By accessing or using SHARC’s platform, you acknowledge and agree to comply with the terms outlined in this Agreement. These Terms and Conditions govern the use of our comprehensive talent acquisition services by both Clients (employers) and Candidates (job seekers).

We facilitate a structured hiring process using AI-driven interviews, assessments, and verification tools to match candidates with job opportunities that meet industry standards and User requirements. We encourage you to review these Terms and Conditions to make the most of our platform and its features. By continuing to use our platform, you expressly agree to be bound by these Terms and Conditions. Please read the Terms and Conditions carefully before proceeding.
1. User Accounts
All content, technology, and materials provided by SHARC, including but not limited to interview recordings, assessments, reports, and proprietary recruitment methodologies, are the exclusive property of SHARC, its licensors, or Third-Party Service Providers and are protected under applicable intellectual property laws. SHARC provides access to interview recordings and assessments conducted via any Third-Party Platforms to the Client. The Client shall not use, copy, modify, distribute, or reproduce any technology, software, or content belonging to any Third-Party Interview Platforms without prior written consent from its rightful owner.
2. Acceptable Use
At SHARC, we are committed to maintaining a professional, ethical, and secure environment for all users. To ensure a positive and efficient experience, all users are required to and shall adhere to the following guidelines: By using SHARC’s platform and services, you agree to:
  1. Provide Accurate Information – Ensure that all details shared, including resumes, job postings, and business information, are accurate and up to date.
  2. Engage Ethically & Professionally – Use SHARC’s services in a fair, responsible, and legally compliant manner.
  3. Share Respectful & Industry-Appropriate Content – Maintain a positive and professional approach when engaging with our platform, avoiding inappropriate or offensive material.
  4. Support System Integrity – Help us maintain the reliability and security of SHARC’s platform by following best practices in system usage and compliance.
  5. Use the Platform for Its Intended Purpose – SHARC is designed exclusively for recruitment to connect employers and job seekers effectively.
Prohibited Activities
  1. Providing False or Misleading Information – Users must not submit inaccurate, fraudulent, or deceptive details.
  2. Engaging in Unethical or Illegal Activities – SHARC must not be used for any form of fraud, deception, or unlawful conduct.
  3. Uploading Inappropriate or Offensive Content – Content that is defamatory, obscene, abusive, or otherwise harmful has no place on our platform.
  4. Interfering with Platform Integrity – Any attempt to disrupt, manipulate, or harm SHARC’s systems, website, or services is strictly forbidden.
  5. Unauthorized Access & Cybersecurity Violations – Activities such as hacking, data scraping, or unauthorized access to SHARC’s systems are not allowed.
By using SHARC, you contribute to a trusted, professional, and secure hiring environment. Non-compliance with this provision may result in restricted access, suspension, or termination of services.
3. Privacy
Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and disclose information about you when you use our services.
4. Fees, Payment Terms, and Refund Policy
All fees for SHARC’s services must be paid in full before the commencement of any recruitment activities. Refunds, where applicable, will be subject to specific conditions. A 70% refund may be requested within 45 days from the date of payment, while a 40% refund is available for requests made between 46 and 60 days. No refunds will be processed for requests submitted beyond 60 days from the payment date. Additionally, refunds will only be applicable before the completion of 10 interviews or before shortlisting 3 candidates for the Client, whichever occurs first. Once a refund request is submitted, all recruitment activities related to the specific position for which the refund is sought will be immediately discontinued, while all other ongoing recruitment engagements will continue without interruption. SHARC reserves the right to withhold refunds if it has reasonable cause to believe that the refund request is being made with the intent to deceive, manipulate, or exploit SHARC’s services. In such cases, SHARC will inform the Client of the refund withholding and the Client will be given an opportunity to present reasoning or supporting evidence before a final determination is made.
5. Consent to Interview Recording and Liability Disclaimer
By using SHARC’s services, the Candidate acknowledges and agrees that interviews conducted via the Third-Party Interview platforms will be recorded, stored, and analyzed for recruitment purposes. SHARC will provide the Client with recordings and assessments of candidates deemed eligible for the role. The User agrees not to hold SHARC liable for errors in evaluations, technical failures, data loss, security breaches, or unauthorized access related to Third-Party services.
6. International Data Transfers
Your information may be transferred to and processed in countries other than your own, where data protection laws may be different from those in your jurisdiction.
7. Children Privacy
SHARC’s services are generally intended for individuals aged 18 and above. However, age requirements may vary based on jurisdictional laws, as outlined below. We implement measures to prevent the collection or processing of personal data from individuals who do not meet the minimum age requirement or other applicable age-related criteria. If we become aware that a minor below the permitted working age has accessed our platform or provided personal information, we will take immediate corrective action, including restricting access, closing the account, and removing any collected data in compliance with applicable laws.
8. Intellectual property rights
All content, technology, materials, and proprietary methodologies provided by SHARC, including but not limited to interview recordings, assessments, reports, recruitment tools, software, algorithms, databases, and related documentation, are the exclusive property of SHARC and its Third-Party Affiliates are protected under applicable intellectual property laws. Users do not acquire any ownership rights in SHARC’s intellectual property by using the platform or services. SHARC grants the Client a limited, non-exclusive, non-transferable, and revocable license to access and use the platform and services solely for internal recruitment and hiring purposes, strictly prohibiting any unauthorized copying, modification, distribution, reproduction, sublicensing, or publication of SHARC’s content, technology, or materials. The Users must immediately notify SHARC of any suspected infringement, unauthorized use, or misappropriation of SHARC’s intellectual property. SHARC reserves the right to take appropriate legal action to protect its rights. The platform may reference or integrate third-party trademarks, content, or services, which remain the property of their respective owners, and SHARC does not grant any rights or licenses to such third-party intellectual property.
9. Prohibition on Reverse Engineering
Users are strictly prohibited from reverse engineering, decompiling, disassembling, or attempting to derive the source code, underlying algorithms, or technical components of any software, platform, tools, or proprietary technology provided by SHARC or any Third-Party Service Providers. This includes, but is not limited to, recruitment algorithms, assessment tools, data processing systems, and AI-driven solutions. Any attempt to modify, alter, duplicate, reproduce, or create derivative works based on SHARC’s technology is a material breach of this Agreement.
10. Remedies
In the event of a breach, or any other violation of the Terms and Conditions of this Agreement, including, but not limited to unauthorized use of SHARC’s platform, intellectual property infringement, non-payment of fees, misuse of confidential information, or violation of data protection laws, SHARC reserves the right to pursue all available legal and equitable remedies.

These may include, but are not limited to, injunctive relief, immediate termination of access to the platform and services, suspension of ongoing recruitment activities, claim for monetary damages, and reimbursement of legal costs incurred in enforcing this Agreement. The enforcement of one remedy shall not preclude SHARC from seeking additional remedies as permitted under applicable law.
11. Termination
SHARC reserves the right to terminate services in cases of unauthorized use, unauthorized access, inappropriate language on the platform, or any violation of these Terms and Conditions. Termination will be communicated to the Client/Candidate via email, and depending on the severity of the violation, SHARC may impose restrictions or a permanent ban on access to its services. No refunds or financial compensation will be issued for terminations resulting from non-compliance with these Terms and Conditions. By using SHARC’s services, the Client acknowledges and accepts these terms regarding service termination.
12. Disclaimer
SHARC provides its platform, services, and deliverables on an "as is" and "as available" basis, without any express or implied warranties. To the fullest extent permitted by law, SHARC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. SHARC does not guarantee that the platform, services, or deliverables will be uninterrupted, error-free, secure, or free of defects, nor does it warrant the accuracy, reliability, or expected results derived from their use. Additionally, SHARC does not guarantee that any content, materials, or information provided will be free from viruses, malware, or other harmful components.

Under no circumstances shall SHARC, its officers, directors, employees, affiliates, agents, partners, or service providers be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to the use or inability to use the platform, services, or deliverables. This includes, but is not limited to, damages resulting from errors, omissions, delays, security breaches, unauthorized access, data corruption, cyber-attacks, service failures, loss of revenue, business disruption, or other commercial damages, even if SHARC has been advised of the possibility of such damages.

These disclaimers and limitations form a fundamental basis of the agreement between the User and SHARC, and the platform, services, and deliverables would not be provided without such limitations. No advice, representation, or information, whether oral or written, obtained from SHARC or through the platform, shall create any warranty, representation, or guarantee not expressly stated in this Agreement. Users are responsible for implementing their own security measures to safeguard against potential risks, including cyber threats.
13. Limitation of Liability
To the fullest extent permitted by law, SHARC, its officers, employees, partners, affiliates, representatives, or service providers shall not be liable for any direct, indirect, special, incidental, exemplary, punitive, or consequential damages arising out of or in connection with the use or inability to use the platform, services, or content. This includes, but is not limited to, errors, omissions, interruptions, system failures, service unavailability, transmission delays, loss of business, profits, data, opportunities, or any other commercial damages, even if SHARC has been advised of or could have foreseen such damages.

This limitation applies regardless of whether the claim arises from contract, negligence, breach of warranty, tort, or any other legal theory, and even if the limited remedies provided herein fail their essential purpose.

Furthermore, the total aggregate liability of SHARC, its affiliates, employees, partners, or representatives arising out of or related to the platform, services, or this agreement shall not exceed Rs. 1000. This amount represents the maximum liability in lieu of all other remedies available to the User against SHARC or its affiliated parties.

Certain jurisdictions may not allow the exclusion or limitation of liability; in such cases, SHARC’s liability shall be limited to the maximum extent permitted by applicable law.
14. Indemnification
The Client agrees to indemnify, defend, and hold harmless SHARC, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising from or related to:
  1. The Client’s use of SHARC’s services, including but not limited to interviews conducted through third-party applications.
  2. Any breach of these Terms and Conditions by the Client.
  3. Decisions made by the Client based on assessments, reports, or recommendations provided through SHARC.
SHARC provides access to third-party platforms and AI-powered assessments for recruitment assistance but does not guarantee their accuracy, reliability, or completeness. Users are responsible for reviewing third-party policies and ensuring independent evaluation before making hiring decisions. SHARC shall not be liable for any actions, claims, or damages arising from reliance on such assessments.

The Client further agrees to indemnify SHARC against any claims, liabilities, damages, losses, costs, or expenses resulting from employment decisions, contractual obligations, or legal disputes stemming from its use of SHARC’s services.
15. Governing Law and Dispute Resolution
The Terms and Conditions mentioned here will be governed by and interpreted in accordance with the laws of India. Any dispute, controversy, or claim arising out of or related to these Terms and Conditions, or the breach, termination, or invalidity thereof, shall first be resolved through negotiations between the parties. However, if such negotiations fail, the dispute shall be referred to arbitration in accordance with the Arbitration Rules of the Mumbai Centre for International Arbitration ("MCIA Rules") in effect at the time the request for arbitration is made, which rules are deemed to be incorporated by reference in this Section. The seat of Arbitration shall be Mumbai, India. The tribunal shall consist of 1 (one) arbitrator who shall be jointly appointed by the Parties. In the event the Parties are unable to jointly decide on an arbitrator within 14 (fourteen) days of the request for arbitration, such sole arbitrator shall be appointed as per MCIA Rules. Any award (interim or final) rendered by the Arbitration Tribunal shall be binding on the Parties. The Parties are to share costs and the arbitrator’s costs equally. Each Party will remain responsible for its own attorneys’ fees. The arbitrator will provide a detailed written statement of decision, which will be part of the arbitration award. All arbitration proceedings shall be closed to the public and confidential and all records relating thereto shall be permanently sealed, except as necessary to obtain court confirmation of the arbitration award, or as required by law. Subject to the foregoing, these Terms and Conditions shall be governed by, and construed and enforced in accordance with, the laws of India. The Parties’ consent to the exclusive jurisdiction and venue of the competent courts located in Mumbai, India for any dispute or proceedings relating to this Agreement.
16. Severability
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified to the extent necessary to render it valid, legal, and enforceable. If such modification is not possible, the offending provision shall be severed from the Terms and Conditions, and the remaining provisions shall continue in full force and effect. The parties agree to negotiate in good faith to replace any invalid, illegal, or unenforceable provision with a valid, legal, and enforceable provision that achieves, to the greatest extent possible, the original intent and economic effect of the invalid, illegal, or unenforceable provision.
17. Waiver
No waiver of any term, provision, or condition of this Agreement, whether by conduct or otherwise, shall be deemed a continuing or further waiver of the same or any other provision. Any waiver, consent, or approval by SHARC of any breach, default, or deviation from this Agreement must be explicitly provided in writing and shall be effective only to the extent specifically set forth in such written authorization. The failure or delay of SHARC in enforcing any right, power, or provision under this Agreement shall not be construed as a waiver of such right, nor shall any partial or single exercise of a right, power, or privilege preclude its further enforcement or the exercise of any other right or remedy available under this Agreement or applicable law.
18. Modification of Terms
SHARC reserves the right to amend, modify, or update these Terms and Conditions at its discretion, with or without prior notice. Continued use of SHARC’s services, including but not limited to the AI Interview platform, after such modifications shall constitute the User’s acceptance of the revised Terms. Users are encouraged to review these Terms and Conditions periodically to stay informed of any updates.
19. Entire Agreement
These Terms and Conditions constitute the entire agreement between the Client and SHARC, superseding all prior agreements, representations, or communications. No modification, amendment, or waiver shall be effective unless executed in writing and duly authorized by SHARC.
